ZOKE Partner Program Terms

These ZOKE Partner Program Terms (“Partner Terms”) govern participation in the ZOKE Partner Program (“Program”) operated by SIWARAH FZC (“ZOKE”, “Company”, “we”, “us”, “our”), owner of the ZOKE JEWELS brand.

These Partner Terms apply to every individual or entity that applies to or participates in the Program (“Partner”, “you”, “your”).

By submitting an application to the Program or participating after approval, you acknowledge that you have read, understood, and agree to these Partner Terms, our Terms of Use, and our Privacy Policy.

1. Purpose of the Program

The ZOKE Partner Program allows approved Partners to promote ZOKE through authorized referral links, referral codes, content, recommendations, and approved promotional activities.

Partners may earn commission when an eligible purchase is successfully attributed to them in accordance with these Partner Terms.

2. Eligibility

To participate in the Program, you must:

  • be at least 18 years old;
  • have legal capacity to enter into a binding agreement;
  • provide accurate and complete application information;
  • operate lawful social media accounts, websites, businesses, or professional activities;
  • comply with applicable advertising, media, consumer protection, tax, and other laws;
  • hold any licences, permits, registrations, or approvals required for your promotional activities; and
  • meet any additional eligibility requirements communicated by ZOKE.

3. Application and Approval

Submission of an application does not guarantee acceptance into the Program.

ZOKE may review factors including content quality, audience relevance, authenticity, engagement, professional presentation, brand alignment, compliance history, location, business activity, and any other factor reasonably relevant to the Program.

ZOKE may approve or reject an application at its discretion, subject to applicable law.

ZOKE may request additional information or verification before or after approval.

You must ensure that information supplied in connection with your application remains accurate and must notify ZOKE of material changes where reasonably relevant to your eligibility.

4. Independent Relationship

Participation in the Program does not create an employment, agency, franchise, partnership, joint venture, fiduciary, or legal representative relationship between you and ZOKE.

Unless separately agreed in writing, you participate as an independent Partner.

You have no authority to:

  • enter into an agreement on behalf of ZOKE;
  • make commitments on behalf of ZOKE;
  • represent that you are an employee or legal representative of ZOKE;
  • bind ZOKE to any obligation; or
  • make warranties or guarantees on behalf of ZOKE.

5. Referral Links and Codes

Approved Partners may receive one or more personal referral links, referral codes, affiliate identifiers, or other tracking methods (“Referral Tools”).

Referral Tools are issued for use by the approved Partner and may not be transferred, sold, assigned, sublicensed, or shared with another person for the purpose of operating a separate affiliate activity without written authorization from ZOKE.

ZOKE may modify, replace, deactivate, or withdraw a Referral Tool where reasonably required for operational, security, technical, campaign, or compliance reasons.

6. Standard Commission

Unless otherwise communicated for a particular Partner, campaign, product, category, or partnership level, the current standard Program commission is 3.00% of Eligible Merchandise Value from a Qualifying Purchase.

Commission rates may vary by Partner, campaign, partnership level, product, collection, category, country, or promotional arrangement.

A different commission rate communicated to you by ZOKE for a specific campaign, partnership, or period will apply to the transactions covered by that arrangement.

ZOKE may change commission rates prospectively in accordance with Section 28 of these Partner Terms.

7. Eligible Merchandise Value

Unless otherwise communicated by ZOKE, commission is calculated on the eligible merchandise value actually paid for qualifying products after applicable discounts.

The commission calculation excludes, unless ZOKE expressly states otherwise:

  • VAT and other taxes;
  • shipping and delivery charges;
  • customs duties;
  • government charges;
  • payment processing charges;
  • gift wrapping or similar service charges;
  • gift cards;
  • cancelled amounts;
  • refunded amounts;
  • returned merchandise;
  • chargebacks;
  • fraudulent or unauthorized transactions; and
  • products or categories designated by ZOKE as commission-excluded.

8. Qualifying Purchase

A purchase qualifies for commission only if ZOKE determines that all applicable Program requirements have been satisfied.

A Qualifying Purchase generally requires that:

  • the customer reached ZOKE through an eligible Referral Tool or used an eligible Partner referral code;
  • the purchase was successfully attributed to the Partner through ZOKE's systems;
  • the transaction was successfully completed and paid;
  • the purchased merchandise is eligible for commission;
  • the transaction was not generated through prohibited activity;
  • the order was not cancelled;
  • the applicable return or verification period has passed;
  • the relevant product was not returned or refunded; and
  • the transaction otherwise complies with these Partner Terms.

9. Attribution

ZOKE uses its systems and available tracking information to determine which Partner, if any, should receive attribution for a transaction.

Referral attribution may use referral links, cookies, referral codes, campaign identifiers, browser information, transaction information, or similar technologies.

Unless otherwise communicated for a specific campaign, ZOKE's current standard attribution window is 30 days from a qualifying referral interaction.

Where multiple referrals, codes, or Partners are associated with the same transaction, the attribution rules implemented by ZOKE's system will determine the eligible Partner.

Unless otherwise stated, a referral code entered and accepted during checkout may take priority over a previously stored referral attribution.

ZOKE's records regarding attribution will control unless there is a clear and verifiable technical error.

10. Pending, Approved and Paid Commissions

Commission may be displayed using statuses including:

  • Pending — the transaction has been tracked but commission is not yet final;
  • Approved — the commission has satisfied applicable verification requirements and is eligible for payment; and
  • Paid — the approved commission has been included in a completed payout.

Pending commission is provisional and does not constitute a final amount owed until it has been approved.

11. Returns, Refunds, Cancellations and Chargebacks

No commission is payable on merchandise that is cancelled, refunded, returned, charged back, determined to be fraudulent, or otherwise becomes ineligible.

If commission has already been recorded in relation to such a transaction, ZOKE may reverse or cancel that commission.

If commission was already paid before the relevant transaction became ineligible, ZOKE may, where permitted by law:

  • deduct the amount from future Partner commissions;
  • offset the amount against another payment due to the Partner; or
  • request repayment of an overpaid amount.

12. Commission Payments

Approved commissions will be paid according to the payout schedule communicated by ZOKE.

The standard payout schedule is: monthly, within 30 days after the end of the month in which commission becomes approved.

The standard minimum payout threshold is: AED 500.

If a minimum payout threshold applies and a Partner has not reached it, the approved balance may carry forward to a subsequent payout period.

ZOKE may require valid payment, banking, invoicing, identity, tax, or other reasonably necessary information before releasing a payout.

A Partner is responsible for ensuring that payment information supplied to ZOKE is accurate and current.

ZOKE is not responsible for delays caused by incorrect payment information, banking processing times, regulatory checks, payment-provider restrictions, or circumstances outside ZOKE's reasonable control.

13. Taxes, Registration and Invoicing

Partners are responsible for determining and satisfying their own tax, VAT, business registration, invoicing, reporting, and other financial obligations arising from their participation in the Program or receipt of commission.

ZOKE may request tax, registration, invoicing, or other documentation where reasonably required by applicable law, accounting requirements, or ZOKE's payment procedures.

14. Self-Referrals

Unless ZOKE expressly authorizes otherwise in writing, Partners may not earn commission on their own purchases.

Partners may not attempt to circumvent this restriction by:

  • placing orders through another account on their own behalf;
  • using another person's details to disguise a self-purchase;
  • creating artificial purchases;
  • coordinating transactions whose primary purpose is to generate commission improperly; or
  • otherwise manipulating attribution.

15. Prohibited Referral and Commission Activity

Partners must not engage in:

  • fake or fraudulent orders;
  • automated or bot-generated traffic;
  • fake clicks;
  • cookie stuffing;
  • forced redirects;
  • hidden referral links;
  • unauthorized browser extensions or code injection;
  • commission manipulation;
  • fraudulent chargeback activity;
  • misleading advertising;
  • false claims concerning ZOKE products or promotions;
  • impersonation of ZOKE;
  • unauthorized coupon distribution;
  • traffic generated through unlawful means; or
  • any activity whose primary purpose is to obtain commission that would not otherwise legitimately be earned.

ZOKE may investigate suspicious activity and withhold, reverse, or cancel commissions connected to suspected violations while an investigation is conducted.

16. Coupon and Discount Websites

Unless ZOKE provides prior written authorization, Partners may not submit, publish, syndicate, or distribute their referral codes through coupon aggregation websites, voucher websites, automated coupon tools, browser extensions, or similar services.

Partners may not present a personal Partner code as an official ZOKE-wide promotion unless ZOKE has expressly authorized that representation.

17. Paid Advertising

Partners may not use paid search, paid social advertising, display advertising, or other paid media using ZOKE trademarks or brand terms without prior written authorization from ZOKE.

Without prior written authorization, Partners must not bid on or purchase keywords including:

  • ZOKE;
  • ZOKE JEWELS;
  • variations or misspellings of ZOKE;
  • ZOKE coupon;
  • ZOKE discount;
  • ZOKE promo code;
  • ZOKE sale; or
  • other terms that reasonably imply an official ZOKE promotion.

Partners must not create advertisements that falsely imply that they are ZOKE, an official ZOKE account, or an authorized representative beyond the limited Partner relationship.

18. Domains, Usernames and Accounts

Partners may not register, purchase, operate, or use domain names, social media usernames, account names, business names, advertising accounts, or other identifiers that contain ZOKE trademarks in a way that could reasonably create confusion regarding ownership, authorization, or official status.

Examples of prohibited activity include names that imply:

  • an official ZOKE discount account;
  • an official ZOKE country account;
  • ZOKE customer service;
  • ZOKE outlet status; or
  • another official relationship that does not exist.

19. ZOKE Intellectual Property

ZOKE may provide approved Partners with photographs, videos, logos, product information, campaign materials, text, graphics, or other brand materials (“ZOKE Materials”).

During active participation in the Program, ZOKE grants the Partner a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use authorized ZOKE Materials solely for lawful promotion of ZOKE in accordance with these Partner Terms and any brand guidelines supplied by ZOKE.

The Partner may not:

  • claim ownership of ZOKE Materials;
  • register ZOKE trademarks or confusingly similar marks;
  • materially alter ZOKE logos without authorization;
  • use ZOKE Materials in a misleading context;
  • use ZOKE Materials to promote counterfeit or competing products;
  • sublicense or sell ZOKE Materials;
  • create the impression of a broader endorsement or agency relationship than actually exists; or
  • continue using ZOKE Materials after permission has been withdrawn or Program participation has ended.

20. Partner-Created Content

Partners are encouraged to create authentic content in their own style, provided that the content complies with these Partner Terms, applicable law, applicable platform requirements, and any ZOKE brand guidelines.

Partner content must not:

  • contain materially false or misleading statements;
  • misrepresent product characteristics;
  • misrepresent prices or discounts;
  • misrepresent product availability;
  • make unsupported claims about ZOKE products;
  • misrepresent diamonds, gemstones, precious metals, origin, certification, composition, or quality;
  • use false testimonials;
  • infringe intellectual property or privacy rights;
  • contain unlawful, defamatory, discriminatory, abusive, or fraudulent material;
  • damage ZOKE's brand through intentionally deceptive conduct; or
  • violate applicable advertising or consumer-protection requirements.

Partners should rely on product information provided by ZOKE when describing materials, diamonds, gemstones, carat weights, gold purity, certifications, product specifications, and other technical product characteristics.

21. Advertising Disclosure

Partners are responsible for clearly disclosing their commercial or affiliate relationship with ZOKE whenever such disclosure is required by applicable law, regulation, platform policy, or advertising standard.

Required disclosures must be sufficiently clear and prominent for the relevant audience.

Depending on applicable requirements, disclosures may include terms such as “Ad”, “Advertisement”, “Affiliate”, “Paid Partnership”, or another legally appropriate disclosure.

ZOKE may provide guidance concerning disclosures, but the Partner remains responsible for ensuring that their own promotional activity complies with applicable requirements.

22. Licences and Advertiser Permits

Partners are responsible for obtaining, maintaining, and complying with any licences, permits, registrations, approvals, or authorizations required for their promotional activities.

This includes any UAE Advertiser Permit or other media or advertising authorization where applicable.

ZOKE may request evidence of applicable licences, permits, or registrations.

A Partner must promptly notify ZOKE if a licence, permit, or authorization relevant to their participation is suspended, revoked, expires, or otherwise becomes invalid.

ZOKE may suspend or terminate participation where required regulatory requirements are not satisfied.

23. Product Seeding, Gifts and Collaborations

Participation in the Program does not guarantee free products, product seeding, paid collaborations, event invitations, campaign placements, increased commission, or other commercial opportunities.

ZOKE may, at its discretion, offer selected Partners additional opportunities based on performance, audience, content quality, brand fit, campaign requirements, or other relevant factors.

Additional opportunities may be governed by separate campaign-specific terms or agreements.

Where jewelry or another product is supplied to a Partner, ZOKE will indicate whether the item is:

  • a gift that the Partner may retain; or
  • a loan that remains the property of ZOKE and must be returned according to agreed conditions.

A Partner must not assume that an item has been gifted unless ZOKE has communicated that clearly.

24. Customer Relationship

Customers referred by Partners remain customers of ZOKE for purchases made directly from ZOKE.

Partners must not represent that they control ZOKE's fulfillment, returns, warranties, customer service, payment processing, product availability, or other customer policies.

Use of a Partner referral link or code does not by itself reduce or alter customer rights under ZOKE's applicable customer policies or mandatory law.

25. Partner Account Security

Where Partner account or dashboard functionality is provided, Partners are responsible for protecting their login credentials and maintaining appropriate account security.

Partners must not sell, transfer, or provide unauthorized access to their Partner account.

Suspected unauthorized access should be reported to ZOKE promptly.

ZOKE may temporarily suspend an account where necessary to investigate suspected compromise, fraud, abuse, or security issues.

26. No Guaranteed Earnings

ZOKE does not guarantee any minimum number of clicks, customers, transactions, sales, commissions, earnings, products, campaigns, collaborations, or other benefits.

Results depend on multiple factors and participation in the Program involves no guarantee of financial return.

27. Excluded Products and Transactions

ZOKE may designate certain products, product categories, order types, transactions, or campaigns as excluded from standard commission.

Exclusions may include, where communicated by ZOKE:

  • gift cards;
  • wholesale transactions;
  • trade purchases;
  • custom or bespoke jewelry;
  • selected High Jewelry pieces;
  • selected discounted merchandise;
  • special commercial transactions;
  • employee or internal purchases;
  • transactions generated through another commercial agreement; or
  • specific campaign exclusions.

ZOKE may communicate exclusions through the Partner dashboard, Partner communications, campaign terms, product information, or other reasonable means.

28. Changes to Commission Rates and Program Rules

ZOKE may change future commission rates, eligibility requirements, attribution rules, product eligibility, Partner levels, campaign structures, benefits, payout processes, or other Program rules.

Material changes will be communicated through the Website, Partner dashboard, email, or another reasonable communication method.

Unless required to correct fraud, error, duplicate attribution, or another invalid transaction, changes to commission rates will generally apply prospectively and will not retroactively reduce commission already validly approved under the applicable terms at the time.

29. Suspension

ZOKE may suspend a Partner or Partner account where reasonably necessary to:

  • investigate suspected fraud;
  • investigate referral manipulation;
  • verify identity or payment information;
  • verify advertising or regulatory compliance;
  • address security concerns;
  • investigate complaints;
  • prevent potential brand or customer harm; or
  • investigate a suspected breach of these Partner Terms.

Pending commissions may be temporarily withheld while a relevant investigation is ongoing.

30. Termination

Either party may end the Partner relationship.

A Partner may request termination by contacting ZOKE.

ZOKE may suspend or terminate participation, including for:

  • breach of these Partner Terms;
  • fraud or suspected fraud;
  • referral manipulation;
  • false application information;
  • misleading advertising;
  • unauthorized use of ZOKE intellectual property;
  • regulatory or legal non-compliance;
  • invalid or missing required permits;
  • conduct reasonably likely to materially damage customers or the ZOKE brand;
  • security concerns;
  • material inactivity; or
  • discontinuation or restructuring of the Program.

31. Effect of Termination

Upon termination:

  • the Partner must stop representing themselves as an active ZOKE Partner;
  • ZOKE may deactivate Referral Tools;
  • the Partner must stop using ZOKE Materials except where otherwise legally permitted;
  • new referrals may cease to qualify for commission; and
  • valid outstanding commissions will be reviewed according to these Partner Terms.

Approved, legitimate commission earned before termination will generally remain payable according to the applicable payout process.

Fraudulent, manipulated, duplicate, returned, refunded, cancelled, or otherwise ineligible transactions do not become payable solely because termination occurred.

32. Program Modification or Discontinuation

ZOKE may modify, suspend, replace, or discontinue the Program in whole or in part.

Where practical, material changes will be communicated through reasonable means.

Discontinuation of the Program does not remove the Partner's entitlement to legitimate commissions that had already become validly approved, subject to these Partner Terms.

33. Records and Commission Disputes

ZOKE's tracking, transaction, refund, payment, and commission records will be used to determine Program performance and commission calculations unless a clear error is demonstrated.

If you believe a commission calculation or attribution is incorrect, you should notify ZOKE with sufficient transaction information to allow the matter to be investigated.

ZOKE may request supporting evidence where reasonably necessary.

34. Confidential Information

ZOKE may provide selected Partners with non-public information relating to upcoming collections, campaigns, product launches, commercial arrangements, commission structures, embargoed content, events, or other business information.

Where information is identified as confidential or would reasonably be understood to be confidential, Partners must not disclose or use it for purposes outside the relevant ZOKE collaboration without authorization.

35. Privacy and Data Protection

Personal information processed in connection with the Program is handled in accordance with the ZOKE Privacy Policy.

Partners must not attempt to obtain or use ZOKE customer personal information beyond information properly made available to them for legitimate Program purposes.

Partners must not collect, disclose, sell, or misuse customer personal information in connection with the Program.

36. Indemnification

To the extent permitted by applicable law, a Partner is responsible for losses, claims, liabilities, penalties, or reasonable costs arising directly from the Partner's unlawful conduct, fraud, infringement of third-party rights, material breach of these Partner Terms, or unauthorized representations made on behalf of ZOKE.

37. Limitation of Liability

To the fullest extent permitted by applicable law, ZOKE will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from participation in the Program, including anticipated commissions or lost business opportunities.

Nothing in these Partner Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

38. Third-Party Platforms

Partners may use third-party services such as Instagram, TikTok, Snapchat, YouTube, or other platforms in connection with their promotional activities.

ZOKE does not control these platforms and is not responsible for changes to their algorithms, policies, availability, account restrictions, advertising systems, or other third-party functionality.

Partners remain responsible for complying with applicable third-party platform rules.

39. Changes to these Partner Terms

ZOKE may update these Partner Terms from time to time.

Updated Partner Terms will be published on the Website with a revised “Last Updated” date.

Where appropriate, material changes affecting active Partners may also be communicated through email, the Partner dashboard, or another reasonable method.

Continued participation in the Program after updated Partner Terms become effective constitutes acceptance of the revised terms, subject to applicable law.

40. Severability

If any provision of these Partner Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain effective to the extent permitted by applicable law.

41. No Waiver

Failure by ZOKE to exercise or enforce a right under these Partner Terms does not constitute a waiver of that right.

42. Entire Program Agreement

These Partner Terms, together with the applicable Terms of Use, Privacy Policy, any specific campaign terms, and any written commercial agreement expressly entered into between ZOKE and the Partner, form the agreement governing participation in the Program.

Where ZOKE and a Partner enter into a separately signed agreement concerning a specific campaign or commercial arrangement, that agreement will prevail over these general Partner Terms to the extent of a direct conflict concerning that arrangement.

43. Governing Law and Jurisdiction

These Partner Terms are governed by and construed in accordance with the applicable laws of the United Arab Emirates.

Subject to any mandatory jurisdictional requirements that cannot lawfully be excluded, disputes arising in connection with these Partner Terms or the Program shall be subject to the jurisdiction of the competent courts of the United Arab Emirates.
